Huse Honors Program Terms & Conditions

Huse Honors is a loyalty program offered by Huse Culinary, Inc. for registered Huse Culinary restaurant guests. The Huse Honors program is subject to the specific terms and conditions set out below, as well as the Huse Culinary Privacy Policy available at  https://huseculinary.com/huse-culinary-privacy-policy/. Huse Culinary reserves the right to amend, suspend, change or cancel the Huse Honors program and/or these terms and conditions at any time, in its sole discretion, with or without notice to you.   All modifications will be posted here and on the Huse Culinary website, with a new effective date.  Huse Culinary may notify all members of modifications by email, but is not obligated to do so.  All modifications will become effective immediately upon the stated new effective date.  If Huse Culinary terminates the Huse Honors program, Huse Culinary may allow you to redeem any accumulated points for a stated period of time, in its sole discretion; however, Huse Culinary is under no obligation to do so.


THESE TERMS AND CONDITIONS CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND HUSE CULINARY.  PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ENROLLING OR PARTICIPATING IN THE HUSE HONORS PROGRAM.  BY PARTICIPATING IN THE HUSE HONORS PROGRAM, YOU AFFIRM THAT YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS.  IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ENROLL IN THE HH PROGRAM.


THESE TERMS AND CONDITIONS REQUIRE YOU TO PARTICPIATE IN MANDATORY ARBITRATION TO RESOLVE DISPUTES, AND REQUIRE YOU TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION SUIT.  BY ACCEPTING THESE TERMS AND CONDITIONS, YOU AGREE TO RESOLVE ANY DISPUTE ARISING OUT OF OR RELATING TO THE HUSE HONORS PROGRAM AND THESE TERMS AND CONDITIONS THROUGH BINDING ARBITRATION OR SMALL CLAIMS COURT.   YOU AGREE TO WAIVE YOUR RIGHTS TO PARTICIPATE IN A CLASS ACTION SUIT.


Definitions

For purposes of these terms and conditions of membership, the terms "Huse Culinary", “HC, "we," "us," and "our" refer to Huse Culinary and its affiliate companies, and the term "HH Program" refers to the Huse Honors program. The terms "Member," "Members," "you," and "your" apply to you as a registered member of Huse Honors; the term "account" refers to your Huse Honors membership account; the term "tier points" or “points” refers to your single Program Year points; and the term "reward balance" refers to your bankable reward balance.  The term “Program Year” means September 1-August 31 of each year. The term “Fork Over Change” or “benevolence fund” refers to the Huse Culinary employee assistance fund. 


 Eligibility for the HH Program

To participate in the HH Program, you must be an individual legally residing in the United States, at least 18 years of age, with a valid email address and telephone number. HH Program accounts are limited to one individual per account and duplicate accounts (including those using a separate email addresses or phone number) may be deleted or terminated by us in our sole discretion. For the avoidance of doubt, only individual persons are eligible to participate in the HH Program. No business entities, organizations, or groups may register for the HH Program.

Current Huse Culinary employees are strictly prohibited from participating in the HH Program while actively employed. If an HC employee had an active HH Program account prior to employment at HC, that HH Program account will be transitioned to dormant or inactive for the duration of their employment.  Upon termination or resignation of such HC employment, the former employee may request reactivation of their HH Program account, subject to program eligibility and account review. HC reserves the right to enforce this policy at its sole discretion.


Enrollment in the HH Program

In order to participate in the HH Program, you must become a Member by completing the enrollment process through the following options.

  • Mobile App: Download the Huse Honors mobile app and follow the prompts to access the HH Program account sign up; enter all of the requested information.  An account number will be provided when the enrollment is complete.
  • Online: Visit the HuseCulinary.com website and follow the prompts to access the HH Program account sign up; enter all of the requested information.        An account number will be provided when the enrollment is complete. 

Membership in the HH Program is effective on the day of registration. Members may not receive points for purchases made prior to enrollment in the HH Program.  

You acknowledge and agree that the information you provide at the time of enrollment is true and accurate, and you are solely responsible for updating the information when changes are needed.  Our communications with you will be made using the contact information that you provide, and we are not responsible for messages missed due to outdated contact information.


How the HH Program Works

  • A Member must complete enrollment in the HH Program and receive an account number prior to earning points.  There is no fee required to enroll in or use the HH Program; participation is personal to the Member and non-transferable.
  • Points are awarded to Members for each qualifying purchase, and should post to a Member’s HH Program account within 24 hours after purchase. 
  • One point is earned for each pre-tax, pre-gratuity dollar ($1 USD) spent on food and non-alcoholic beverage purchases at a participating HC restaurant.  Points are earned for private dining events, but may only be awarded to the Member account providing payment for the event.  
  • Points are not earned for the purchase of gift cards, for room rental fees, or other service charges.
  • Points may be earned when a Member uses a gift card to pay for food and non-alcoholic beverage purchases.  
  • Points will not be earned on the portion of any bill paid by reward redemption. 
  • The Member earning points must be present at the time of the transaction and must present payment for the transaction; a Member’s HH Program account number should be provided at the time of payment.
  • A Member may submit a request for missing points by providing the receipt for the missing transaction within thirty (30) days after the date listed on the receipt.  Points will not be provided for receipts submitted after 30 days. 
  • If Members are splitting a bill, the points will be allocated by dollar amount to each Member who paid a portion of the bill.
  • No additional points are awarded for a visit, but frequency of visits is factored into a Member’s tier level. 
  • Points are redeemable for reward items in the Rewards Vault, which is accessible through the Huse Honors app or the Huse Culinary website.
  • Reward items available to redeem in The Rewards Vault may include but are not limited to restaurant rewards, retail products, charitable donations, event tickets, or unique experiences. 
  • Each Program Year runs from September 1 through August 31.
  • To maintain an active account, Members must complete one qualifying purchase during each 18-month period.
  • A Member’s Reward balance will expire after 10 years of inactivity.
  • Members are able to earn points only at participating Huse Culinary restaurants on dine-in or direct carry-out orders. Participating restaurants are:  St. Elmo Steak House, Harry & Izzy’s, The HC Tavern + Kitchen, and 1933 Lounge by St. Elmo, excluding all airport locations.  Members will not earn points and may not redeem rewards at a Huse Culinary restaurant located in an airport.
  • Points cannot be earned on orders placed through any third-party delivery companies including but not limited to DoorDash, GrubHub, UberEats or Postmates. 
  • Restaurant rewards are only valid for food and non-alcoholic beverages purchases at participating Huse Culinary restaurants. Restaurant rewards may not be used toward tax, gratuity, service charges, reservation fees, surcharges, supplemental fees, event/staffing fees, delivery fees, corkage, cover charges, valet/parking, or other fees.


Tiers 

  • Upon enrollment, a Member will automatically receive “Steward” tier status and all Steward level benefits.
  • Any Member earning 0-999 points and 0-2 visits within a single Program Year will remain at Steward status for the following year.
  • Any Member earning 1,000-4,999 points and 3 or more visits within a single Program Year will receive “Steakholder” tier status and all Steakholder level benefits.
  • Any Member earning 5,000 or more points and 12 visits within a single Program Year will receive “Patron Saint” tier status and all Patron Saint level benefits.
  • Qualification for tiers will be based on a single Program Year. 
  • Once Steakholder or Patron Saint tier status is earned, Member can enjoy the benefits for the remainder of that current Program Year and for the next Program Year (the “Status Term”). To continue receiving Steakholder or Patron Saint level benefits following the Status Term, the Member must re-qualify each Program Year. 
  • Tiers must be reached each year to continue to receive the benefits commensurate with that level.


Rewards

  • A Member’s reward balance will be available in their Huse Honors account, accessible through the mobile app or the Huse Culinary website.
  • A Member’s reward balance can be redeemed for various products or services in the Rewards Vault, our shoppable store. Items may include but are not limited to restaurant rewards, retail products, charitable donations, event tickets, or unique experiences.
  • Items in the Rewards Vault may have varying lengths of expiration, and Member is solely responsible for redeeming the reward within the stated period of validity.
  • Points may be restored to a Member’s HH Program account only in the event that Huse Culinary determines, in its sole discretion, that the redeemed reward is unavailable or incapable of redemption by Member.  
  • A Member’s reward balance cannot exceed 100,000 points; once a Member earns 100,000 points, no additional points can be earned until the reward balance is decreased by redeeming points at the Rewards Vault.  A Member with a 100,000 points balance will still receive acknowledgement for visits, even if the visits do not result in additional points.
  • A Member’s reward balance will expire after 10 years of inactivity.


Your termination of your HH Program account

You may terminate your HH Program account at any time by contacting husehonors@huseculinary.com. If you terminate your HH Program Account, you will no longer receive points and any unredeemed points and your progress toward a tier will automatically be cancelled and will no longer be available for redemption. If you re-enroll at any time, you will start at the Steward tier. Huse Culinary has no obligation to and shall not compensate you for any unredeemed points or other benefits of the HH Program following termination. 


Our cancellation of the HH Program, termination of your membership

Huse Culinary reserves the right to cancel or terminate the HH Program at any time, in its sole discretion. Notice of cancellation will posted here and on the Huse Culinary website, with an effective date.  Huse Culinary may notify all members of cancellation by email, but is not obligated to do so. Upon termination, we may allow you to redeem any accumulated points for a stated period of time, in our sole discretion; however, we are under no obligation to do so. Notwithstanding the foregoing, Huse Culinary has no obligation to and shall not compensate you for any unredeemed points other benefits of the HH Program following cancellation.

Huse Culinary reserves the right to audit any HH Program account at any time and to suspend or terminate an HH Program account, at HC’s sole and absolute discretion, if HC believes that the account holder has abused HH Program privileges, has violated or acted inconsistently with these terms and conditions or applicable law, or otherwise acted in a manner harmful to HC’s or the public interest.  

HC reserves the right to cancel a Member’s HH Program account after 18 consecutive months of inactivity; provided, however, that the rewards balance will remain in effect for its full 10-year term and the Member can access the rewards balance by re-enrolling in the HH Program using the cancelled account information.  


Communications

By enrolling in the HH Program, you understand and agree that Huse Culinary may send you email and text communications regarding your account, upcoming events, promotions, and exclusive offers to Huse Honors members, using the contact information that you provide.   Message frequency will vary and we reserve the right to adjust the frequency of messages sent at any time. These messages may be sent via push notifications in the Huse Honors mobile app, via e-mail, text message or other electronic communications.   Our communications may provide an opportunity to opt out; however, because we plan our communications in advance, it may take several weeks for your request to become effective. If you continue to receive our communications after expressing an opt-out preference, please let us know so that we can investigate the situation.


SMS Text Message Communication

Registration for an HH Program account requires adding an active telephone number. Changes to your telephone number and other profile information can be made on the “Update Info” page of the mobile app and at the Huse Culinary website. For further assistance, please email husehonors@huseculinary.com. 

Member/subscribers can opt-in for SMS messages from Huse Culinary as a part of the enrollment process at Huse Honors . By doing so, you agree to receive automated promotional and personalized marketing text messages from Huse Culinary to the mobile phone number you provided at enrollment. Messages may pertain to promotional programs, new menu items, etc. Messages for this program will be sent from +1 317-593-1160 and begin with “Huse Honors”. Consent to receive automated marketing messages is not a condition of any purchase. Message frequency varies. Message and data rates may apply.

To opt-out of the text messaging program, text the keyword STOP to +1 317-593-1160 to cancel. After texting STOP to +1 317-593-1160 you will receive one additional message confirming that your request has been processed. Location-Based Marketing Notifications 

By enabling location services and/or push notifications in the HH mobile app, you agree that Huse Culinary may send you in-app messages, push notifications, or offers based on your proximity to one of our participating restaurants. These features are offered for your convenience and marketing only if you have provided the required permissions at the device or app-level. You may disable or withdraw your consent at any time by adjusting your device or application settings; however, disabling these features may restrict certain benefits or features of the HH mobile app.  Your use of these features is subject to the terms of our Privacy Policy, which includes additional information about how we collect, use, and share location-based data.


General Program Terms

There is no fee associated with the HH Program. Participation in the HH Program is personal to the Member and accounts and accumulated points are non-transferable. A Member’s points may not be gifted, purchased, sold, bartered, brokered or otherwise transferred, except as provided in the Donations section below.  Points accumulated through the HH Program have no cash value, are not redeemable for cash, gift certificates or gift cards, are purely promotional, and do not constitute property of any participant. No portion of any payment for purchases qualifying for points constitute consideration paid for any of the foregoing. Huse Culinary reserves the right to limit the redemption of specific rewards and to limit the number of points available.

Huse Culinary reserves the right to change, modify or terminate the HH Program, or any or all benefits under the HH Program or any policy pertaining to the HH Program, at any time, for any reason, including our right to discontinue or change the Tiers or change the expiration date or redemption value of points, or to adjust how rewards are redeemed.

HH Program complimentary restaurant rewards are neither a credit card nor a gift card; therefore, no laws, regulations, or restrictions that apply to credit cards or gift cards apply to the HH Program restaurant rewards.


Donation of Points

A Member may choose to donate points from their reward balance to Fork Over Change, a benevolence fund for HC employees. The donating Member’s account will be reduced by the number of points donated.  Huse Culinary makes no representation as to the tax consequences of a donation of points. Members should seek tax advice regarding the tax consequences of donating points. 


Limitation of Liability

Huse Culinary and its affiliates and their respective directors, officers, shareholders, employees, agents and representatives are referred to in this section as the "HC Parties."  By registering for and participating in the HH Program, you agree that, to the fullest extent permitted by law, none of the HC Parties shall be liable to you for: (i) any claim, loss, injury, damage, delay, accident, cost or expense, including legal fees, arising out of or related to the HH Program or these terms and conditions; (ii) any incidental, indirect, special, punitive, exemplary or consequential damages, arising out of or related to the HH Program or these terms and conditions; (iii) any failure, delay or decision by the HH Parties in administering the HH Program; (iv) any use of your HH Program account by an unauthorized third party; (v) any representation, claim, offer or statement made by the HC Parties about the HH Program; and (6) your use of any rewards you redeem through the HH Program. You further agree that in no event will the HC Parties be liable to you for more than $100 in the aggregate on account of all wrongful acts or omissions by the HC Parties arising out of or relating to the HH Program or these terms and conditions.


You hereby agree to indemnify, defend, and hold harmless the HC Parties from and against any and all losses, liabilities, expenses, damages, and costs, including reasonable attorneys' fees and court costs, arising or resulting from your use of the HH Program and any violation of these terms and conditions. HC reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, and, in such case, you agree to cooperate with HC in the defense of such matter.


Dispute Resolution; Arbitration; Class Action Waiver

PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE CLAIMS WITH HUSE CULINARY AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.


Any dispute, claim or controversy of any nature, including tort and statutory claims, among the parties in any way arising out of or relating to these terms and conditions, the Huse Culinary privacy policy, data security, the HH Program, and/or The Reward Vault (each a “Dispute”) shall be finally resolved by and through binding arbitration in accordance with the Federal Arbitration Act to the exclusion of any other Federal, state or municipal law of arbitration administered by the American Arbitration Association (“AAA”) by a sole arbitrator or in small claims court. If you are an individual, then the AAA’s Consumer Arbitration Rules and the Supplementary Procedures for consumer Related Disputes then in effect will apply. If you are a business or legal entity other than an individual, then the arbitration will be administered by AAA in accordance with the AAA’s Commercial Rules then in effect. The AAA rules are available at www.adr.org. Notwithstanding the foregoing, in any conflict between the AAA’s rules and these terms and conditions, the terms and conditions will govern. Both the foregoing agreement of the parties to arbitrate any and all Disputes, and the results, determinations, findings, judgments and/or awards rendered through any such arbitration, shall be final and binding on the parties and may be specifically enforced by legal proceedings in any court of competent jurisdiction. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. THE ARBITRATOR CAN AWARD, ON AN INDIVIDUAL BASIS, THE SAME DAMAGES AND RELIEF AS A COURT (INCLUDING ATTORNEYS’ FEES).

For any Dispute, the place of Arbitration shall be in Indianapolis, Indiana.

The cost of the arbitration proceeding, including, without limitation, each party's attorneys' fees and costs, shall be borne by the unsuccessful party or, at the discretion of the arbitrators, may be prorated between the parties in such proportion as the arbitrators determine to be equitable and shall be awarded as part of the award.


WAIVER OF CLASS OR CONSOLIDATED ACTIONS (“CLASS ACTION WAIVER”). 

YOU AND HUSE CULINARY EACH AGREE THAT YOU MAY ONLY BRING CLAIMS IN YOUR INDIVIDUAL CAPACITY ON YOUR OWN BEHALF, AND NOT IN ANY REPRESENTATIVE CAPACITY OR ON BEHALF OF ANY CLASS OR PURPORTED CLASS, AND NO PROCEEDINGS COMMENCED HEREUNDER MAY BE JOINED WITH OR INCLUDE ANY OTHER PARTIES, OR CLAIMS BY OTHER PARTIES (WHETHER REPRESENTATIVE, MASS, PRIVATE ATTORNEY GENERAL, OR CONSOLIDATED ACTION). To the extent permitted by law, each party agrees that this limitation includes, but is not limited to, precluding each party from pursuing any claim for public injunctive relief, whether in arbitration or court. If we believe that any claim you have filed is inconsistent with this limitation, then you agree that we may seek an order from a court determining whether your claim is within the scope of this class action waiver.

WITHOUT WAIVING THE RIGHT TO APPEAL SUCH DECISION, SHOULD ANY PORTION OF THIS SECTION BE STRICKEN FROM THESE TERMS AND CONDITIONS OR DEEMED OTHERWISE INVALID OR UNENFORCEABLE, THEN THIS ENTIRE SECTION (OTHER THAN THIS SENTENCE) SHALL BE STRICKEN FROM THIS AGREEMENT AND ANY AND ALL DISPUTES SHALL PROCEED IN THE STATE AND FEDERAL COURTS LOCATED IN INDIANAPOLIS, INDIANA AND BE DECIDED BY A JUDGE, SITTING WITHOUT A JURY, ACCORDING TO APPLICABLE COURT RULES AND PROCEDURES, AND NOT AS A CLASS ACTION LAWSUIT.


Intellectual Property

Trademarks and logos associated with the HH Program are trademarks owned by Huse Culinary and its affiliates, or used with permission from the third-party owners.  Nothing in these terms and conditions or the display of the trademarks on the Huse Honors mobile app or the Huse Culinary website may be construed as granting, by implication, estoppel, or otherwise, any license or right to use any such trademark or logo without the owner's prior written permission.  Huse Culinary reserves all rights not expressly granted herein.


Waiver and Severability

No waiver by HC of any term or condition set forth herein shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by us to assert a right or provision under these terms and conditions shall not constitute a waiver of such right or provision.

In the event that any or any part of the Terms contained in these Terms shall be determined by any competent authority to be invalid, unlawful, or unenforceable to any extent, such Terms shall to that extent be severed from the remaining Terms which shall continue to be valid and enforceable to the fullest extent permitted by the applicable law.


Entire Agreement

These terms and conditions and any document incorporated herein by reference, including but not limited to the Huse Culinary Privacy Policy https://huseculinary.com/huse-culinary-privacy-policy/ constitute the entire agreement between you and Huse Culinary with respect to the HH Program, and supersede all prior and contemporaneous understandings and agreements, whether written or oral, with respect to the HH Program. 


Assignability

HC may freely assign these terms and conditions without your consent. 


Force Majeure

Huse Culinary will not be responsible for the failure to perform or any delay in performance of any obligation hereunder for a reasonable period due to labor disturbances, accidents, fires, floods, telecommunications or Internet failures, epidemic, pandemic, national health emergencies, strikes, wars, riots, rebellions, blockades, acts of government, governmental requirements and regulations, or restrictions imposed by law, or any other similar conditions beyond the reasonable control of such party.


Governing Law

Your participation in the HH Program and these terms and conditions shall be governed in accordance with the laws of the State of Indiana, without regard to conflict of law provisions other than those that would permit the application of Indiana law.
